Freelancer additional agrees not to open up to, ship to, or induce UTG or the Upwork Client to use any confidential info that belongs to anybody other than UTG, the Upwork Client or Freelancer. Upon execution of this Agreement and thereafter as may be fairly requested by UTG, Freelancer shall complete and supply to UTG any form fairly requested by UTG or required by a relevant taxing authority so as to certify that UTG is not required to withhold from Freelancer’s fees or pay on Freelancer’s behalf any income or other tax withholding on any fee of fees beneath this Agreement.

If relevant, Freelancer may even comply with all licensing and other regulatory steps essential to employ employees. Freelancer assumes full duty for any claims introduced by, on behalf of or in connection with Freelancer’s workers (or different Freelancer Personnel alleging they’re or ought to have been classified as staff) and agrees to indemnify, defend and maintain Upwork Client, UTG and any of their mother and father, subsidiaries, associates and successors harmless from and towards any such claims.
