Upwork does not have any energy or authority to, and doesn’t, decide any eligibility standards for any Direct Contract, choose or contract any Freelancer to provide providers to a Client, decide or control any time period or condition of the Direct Contract or Project, or trigger any Freelancer to simply accept any Direct Contract or perform any Freelancer Services.

Notwithstanding any termination of this Agreement, Subscriber stays answerable for payment of all fees and funds owed to Upwork underneath this Agreement, including any Freelancer Payments and Costs. The sections and subsections titled “Fees and Payments”, “Effect of Termination and Survival”, “Intellectual Property”, “Representations, Warranties and Disclaimers”, “Confidentiality”, “Indemnification”, “Limitation of Liability”, “Miscellaneous” and all of Subscriber’s outstanding obligations, will survive any termination or expiration of this Agreement.
